at the surface of the ground

Right of Digress and Egress
The purchaser shall obtain
title right for realty upon which
the well system is to be located
and shall furnish the contract-
or with free and unimpeded in-
gress and egress to and from
work, and shall arrange to take
care of the water, sand and
slush when drilling, developing
and testing units provided in the
contract.

shall be run of 6 hours in order
to determine the amount of
water produced, measurement
being made over a standard
weir -and readings made hourly
the average of these readings
determining the amount of
water produced. Time shall be
allowed the contractor for ad-
justment of machinery during
tests.
Final Test: When the well
system is completed, final test
slial be made at once as follows:
This test shall be made by op-
perating the complete system
for a period of 12 hours, and
the quantity of water pumped
shall not be less than an aver-
age of 250.000 U. S. gallons of
water per day of 24 hours while
the pumps are in operation,
measurement to be made over

PUMP GUARANTEE
Should any part of the Layne
pump or pumps prove defective
by reason of poor material or
workmanship within l year

contractor agrees to furnish
defective parts free of cost to
purchaser F. O. B. Memphis-
Tenn. This does not apply to
motors or equipment installed
but not manufactured by con-

the manufacturer applying in
such instances.
NUMBER OF UNITS
It Is understod and agreed that
there is no stipulation as to
number of units to be installed
under this contract; the essen-
ce of the contract being the de-
velopment of ia water supply
of 250.000 gallons of water per
day of 24 hours minimum, and
a maximum of 500,000 gallons
of water per day of 24 hours.
ABANDONMENT
If. at any time during the pro-
gress of the work herein pro-
vided for, the conditions en-
countered should warrant the
contractor in believeing the at-
tempt futile, and further ef-
fort useless, or for any other
reason in the Judgment of the
contractor, the said contractor
shall have the right, after re-
paying the purchaser any sum
which he may have advanced to
him, other than that paid for
the test holes, to abandon the
project and remove from the
property all his equipment, tools
material and machinery and

quired during the 12 hour teet

PRICE AND PAYMENT
The contract price agreed up-
on is $15,000.00 for a minimum
producing and pumping capac-
ity of 250.000 gallons of water
per day of 24 hours, and an ad-
ditional $30.00 for each 1000
gallons per day up to and inclu-
ding miximum capacity of 500,
000 gallons per day of 24 hour9.
to be made as follows:
(a) 10 per cent of the con-
tract price on arrival of drilling
equipment at well site.
(b) 90 per cent of invoice
price of all materials upon ar-
rival at well sites and present-
ation of invoices.
(c) Balance upon completion
of final installation and test
showing the well system to com-
ply with the req«iremeni3 cf
ibis contract. Should motor de-
livery be delayed the contractor
may arrange a temporary drive
for the permanent pumps, and
final settlement 3hall not be de-
layed but made at once.
PRODUCTION GUARANTEE
The period of guarantee for
the wells is 1 year from date of
completion of 12 hour test here-
in provided for. If at any time
during this one year the produc-
tion herein stipulated should be-
come unobtainable- the purchas-
er shall notify the contractor by
registered letter addressed to his
office in Memphis, Tenn., and
the contractor shall have the
right to send his engineer to
test and examine the well sys-
tem and if the engineer is un-
able to cause the well system
to produce the stipulated
amount, all of which is to be
done at the contractor’s expen-
se: Provided, however, that if
it should be proven by exami-
nations and tests of said engi-
liable to the other for any
amount whatsoever.
VERBAL AGREEMENTS
It is further understood that
no negotiations or verbal state-
ments by either party of this con
tract shall be of any binding,
force or effect on either party
hereto, and that the entire
agreement between the parties
hereto is herein set forth in
writing.
It is further understood and
agreed by and between the con-
tractor and purchaser that the
said contractor chall before
commencing work and before
any money is paid, furnish the
purchaser, the town of Wewo-
ka. a surety bond in 3ome com-
pany approved by the purchas-
er in an amount covering the
full contract price of the work.
It is further understood and
agreed by and between the par-
ties hereto that the said con-
tractor shal begin work within
45 days from the date of this
contract, and shall continuous-
ly and diligently prosecute said
work until it is completed or
abandoned.
APPROVAL OF CONTRACT
It is agreed that this contract
shall not become binding un-
til it has been executed by the
proper officals of both the part-
ies hereto.
In Witness Whereof the part-
ies hereto have caused the
proper officials to execute this
agreement in duplicate, and the
corporate seals of the respect-
ive corporations to be duly affi-
xed on this the day and date
first above written.
